1. Acceptance of These Terms

These Terms of Use and End-User License Agreement (the “Terms”) govern access to and use of internal business applications, tools, and integrations operated by Elite Design Networks, LLC (“EDN”, “we”, “us”, or “our”). By accessing or using these applications, you agree to these Terms. If you do not agree, do not use them.

2. Intended Audience and Authorized Use

EDN’s internal applications and integrations are intended primarily for authorized EDN business users and for legitimate business and administrative purposes. You may use these applications only if you are an authorized user, only within the scope of your authorization, and only for EDN business purposes.

You agree to use the applications in compliance with all applicable laws and regulations, and not to exceed, circumvent, or attempt to circumvent any access controls or authorization boundaries.

3. Third-Party Integrations

EDN’s internal applications may connect to third-party business platforms, including Intuit QuickBooks Online, for authorized accounting, financial reconciliation, project-cost tracking, and business administration purposes.

Access to third-party data must be authorized by the account owner or an authorized administrator of that third-party account. EDN’s applications may be designed operationally to perform read-only accounting retrieval; however, the authorization scope granted by a third-party platform (such as Intuit) may technically permit broader accounting access, depending on the permissions granted at the time of connection.

Your use of third-party platforms remains subject to those platforms’ applicable terms of service, developer terms, privacy policies, and security requirements. EDN is not responsible for the acts or omissions of third-party platforms.

4. Ownership and License

EDN’s internal applications, including their design, software, and content (excluding third-party data and third-party platforms), are owned by or licensed to EDN and are protected by applicable intellectual property laws.

EDN grants authorized users a limited, non-exclusive, non-transferable, revocable license to access and use the applications solely for authorized EDN business purposes, subject to these Terms. No ownership rights are transferred.

5. Prohibited Use

You agree not to:

  • Use the applications for any unlawful, unauthorized, or fraudulent purpose
  • Access or attempt to access data or accounts you are not authorized to access
  • Share credentials or permit unauthorized persons to use your access
  • Interfere with, disrupt, or attempt to compromise the security or operation of the applications
  • Reverse engineer, copy, or redistribute the applications except as permitted by law
  • Use third-party data obtained through the applications for advertising, sale, or purposes unrelated to authorized EDN business

6. Availability

EDN’s internal applications and integrations are provided on an “as available” basis. We do not guarantee uninterrupted or error-free operation and may modify, suspend, or discontinue any application or integration at any time, including as required by a third-party platform.

7. Disclaimer and Limitation of Liability

To the fullest extent permitted by law, the applications are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, EDN will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of data, profits, or business opportunity, arising out of or related to your use of, or inability to use, the applications or any third-party integration.

8. Termination and Disconnection

EDN may suspend or terminate access to its internal applications at any time, including for violation of these Terms or cessation of an individual’s authorization. Users or authorized administrators may disconnect third-party integrations, including QuickBooks Online, when applicable, through the settings provided by the integration or the third-party platform.

Upon termination or disconnection, your right to access the applications ends, though provisions of these Terms that by their nature should survive will survive.

9. Changes to These Terms

We may update these Terms from time to time. The current version will always be posted on this page, and the “Last updated” date below will reflect the most recent revision. Continued use of the applications after changes are posted constitutes acceptance of the updated Terms.
